The agreement
These Terms of Service are a contract between you and Funnel Fuse, LLC, an Arizona limited liability company at PO Box 465, Benson, AZ 85602. They apply when you use funnelfuse.com or any site we run, buy anything from us, join a programme or community, or hire us for work.
By using our sites or buying from us you accept these terms. If you do not accept them, do not use the sites or buy the services.
Where we sign a separate services agreement, statement of work or proposal with you, that document controls for that project and these terms fill the gaps.
You must be at least 18 and able to enter a binding contract. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
What we provide
Funnel Fuse offers the following. Not every service is available at all times, and availability, scope and price are confirmed in writing before work starts.
Done-for-you implementation
- Funnels. Lead funnels, event and webinar funnels, sales and VSL funnels, including pages, email sequences, checkouts, order bumps, upsells and the automations behind them.
- Websites and Funnel Hubs. Full sites built on ClickFunnels, including blogs, stores and customer-facing navigation.
- Courses and customer centres. Course areas, membership and customer login experiences.
- Communities. Setup and build of community spaces, including Skool.
- Applications. Custom software and SaaS builds delivered as a service.
- Build method. Pages may be built with native platform elements or hand coded in HTML and pasted into the platform. We agree which approach applies to your project before we start.
Strategy
- Discovery call. A short call to work out what you need and whether we are a fit.
- Blueprint session. A paid strategy session delivered back as a written plan covering your offer, funnel map, wireframes and build order.
Ongoing services
- Retainers. Monitoring, reporting, optimisation and ongoing implementation on a monthly basis, at the tier you select.
Programmes, products and events
- Cohorts and coaching. Group programmes with live calls, community access and course material.
- Template library. Digital funnel templates, design files and setup courses.
- Live events and challenges. Free and paid workshops, challenges and their replays.
We build on ClickFunnels. We are a certified ClickFunnels partner but we are not ClickFunnels, we do not control that platform, and we are not responsible for its availability, pricing, features or changes.
How projects run
Scope
Every project has a written scope covering deliverables, page and email counts, the build method, timeline and price. Anything outside that scope is a change order, quoted and approved in writing before we do it.
Your responsibilities
Our timeline depends on you as much as on us. You agree to:
- Give us the platform access, brand assets and content we ask for, by the date we ask for them.
- Give feedback within the review windows we set, usually two business days.
- Name one person with authority to approve work.
- Hold the licences and accounts your build requires, including your own ClickFunnels subscription.
- Confirm you own or are licensed to use everything you send us.
Timelines
We quote delivery in business days from kickoff, not from the date you pay. Timelines assume you meet the responsibilities above. If you go quiet, miss a review window or change scope, the timeline moves, and we will tell you the new date. Delays caused by third-party platforms are outside our control.
Revisions
Each project includes the revision rounds named in your scope. Further revisions are billed at our published hourly rate. Revisions mean refinement of agreed work, not a new direction after approval.
Post-launch support
Projects include a support window stated in your scope, during which we fix defects in what we built. It does not cover new features, new pages, platform changes made by you or others, or issues caused by third-party tools.
Payment
- Deposits. Project work requires payment or a signed agreement with a deposit before kickoff. We schedule your build slot when that clears.
- Instalments. Where we offer a payment plan, all instalments are owed even if you stop using the service. Missing a payment may pause delivery or access until it is resolved.
- Third-party financing. If you pay through a financing provider offered at checkout, your agreement with that provider is separate from this one.
- Retainers and subscriptions. These renew automatically each month at the rate you agreed until you cancel. You may cancel at any time, effective at the end of the current paid period, by emailing support@funnelfuse.com or using the cancellation method in your account. We do not require a phone call to cancel. We will send a reminder before any renewal where the law requires one.
- Late payment. Unpaid amounts more than 10 days overdue may accrue interest at 1.5% per month or the maximum the law allows, whichever is lower, and we may pause work until the balance clears.
- Taxes. Prices exclude any sales, use or value added tax, which you are responsible for where it applies.
- Chargebacks. If you dispute a charge for work already delivered, we may suspend access and recover our costs of responding.
Refunds and guarantees
Refund terms differ by what you bought, and the terms shown at checkout for that specific product control.
Done-for-you projects
Deposits are non-refundable once we have reserved your build slot, because we turn away other work to hold it. If we have not started and you cancel, we refund what you paid minus any work already performed and any third-party costs incurred.
Cohorts and programmes
We back the programme with a make-it-right commitment. If it is not what we described, tell us in writing within the window stated at checkout and we will work with you until it is, or resolve it another way we both agree to. This is not an unconditional money-back guarantee, and it is not available to anyone who has not attended the sessions and done the work.
Digital products and templates
These are delivered instantly and all sales are final. Instead of a refund you get support: if a template will not import, will not behave, or you cannot work out how to adapt it, email support@funnelfuse.com and we will work with you until it is live.
Free events
Nothing to refund. Paid add-ons to a free event follow the terms shown when you buy them.
Intellectual property
What you get
Once you have paid in full, you own the final deliverables we created specifically for you: your page copy, your custom designs, and the funnel as built in your account. You may use, modify and keep them.
What we keep
We keep ownership of everything we bring to the project: our frameworks, processes, wireframe systems, code libraries, templates, prompts, internal tooling and know-how. Your deliverables may include these, and you get a perpetual, non-exclusive licence to use them as part of your build. You may not extract them to resell, license or distribute on their own.
Template library licence
Template purchases grant a single-user licence. You may use the templates in your own funnels and in builds for your own paying clients, as many times as you like. You may not resell them, share share-funnel links or account access, or include them in a course, template pack or toolkit of your own.
Third-party assets
Stock images, fonts and plugins in your build are licensed from their owners. We will tell you which ones carry ongoing licence requirements. Assets you supply remain yours and you confirm you have the right to use them.
Showing our work
Unless you tell us otherwise in writing, we may show the work in our portfolio, case studies and marketing, and name you as a client. We will not publish your revenue figures, customer data or anything you marked confidential. Ask us and we will remove your project from public display.
Our brand
Funnel Fuse® is our registered trademark. Nothing here grants you a right to use our name, logo or brand except to identify us as your service provider.
Community and programme conduct
In our communities, cohorts and live sessions you agree not to harass or abuse anyone, pitch or recruit other members without permission, share recordings or materials outside the programme, or share your access with anyone else.
We may remove content, suspend access or end your participation for conduct that harms other members or the programme, without a refund where the conduct is serious.
Sessions may be recorded. Where they are, we tell you at the start. If you do not want to appear, keep your camera off and do not speak.
Affiliate programme
Where we run an affiliate programme, commissions are paid at the rates published for that programme on sales that complete, clear any refund window and are not refunded or charged back. We may withhold or claw back commission on refunded, fraudulent or self-referred orders.
As an affiliate you must disclose your relationship with us clearly and conspicuously wherever you promote, as the FTC endorsement guides require. You may not bid on our brand terms in paid search, send unsolicited email or SMS, make earnings claims, or misrepresent what our offers include. We may end your participation at any time for breach.
Third-party platforms and links
Our work runs on platforms we do not own, including ClickFunnels, Skool, payment processors, email providers and scheduling tools. We are not responsible for their uptime, pricing, policy changes, data handling or the loss of anything stored on them. Keep your own backups and your own account credentials.
Links to other sites are provided for convenience and are not an endorsement. We are not responsible for their content or practices.
Warranties and what we do not promise
We warrant that we will perform the services with reasonable skill and care, in line with the scope you agreed.
Apart from that, and to the fullest extent the law allows, our services and sites are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee results. We guarantee the build, the scope and the timeline. We do not guarantee revenue, conversion rates, traffic, rankings, leads or any business outcome. Those depend on your offer, your audience, your market, your traffic and your own execution, and anyone who guarantees them is not telling you the truth.
Nothing we provide is legal, tax, accounting, financial or medical advice. See our Disclaimers.
Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill or business interruption, even if told such damages were possible.
Our total aggregate liability arising out of or relating to these terms or the services is limited to the amount you paid us in the six months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, including fraud, wilful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
Indemnity
You agree to indemnify and hold harmless Funnel Fuse, its members, employees and contractors from claims, damages, liabilities, costs and reasonable legal fees arising from content or assets you supplied, your use of the deliverables, your breach of these terms, or your violation of any law or third-party right.
Confidentiality
Each party may receive non-public information from the other. Both agree to keep it confidential, use it only to perform or receive the services, and protect it with at least reasonable care. This does not cover information that is public through no fault of the receiver, was already known, is independently developed, or must be disclosed by law.
These obligations continue for three years after the engagement ends, and indefinitely for trade secrets.
Suspension and termination
You may stop using our sites at any time, and cancel a subscription as described above.
We may suspend or end your access, or stop work, if you breach these terms, fail to pay, abuse our team or other members, or use the services unlawfully. Where the breach can be fixed we will tell you and give you a reasonable chance to fix it first.
On termination, you pay for work performed up to that date, we deliver what you have paid for, and the sections on intellectual property, confidentiality, warranties, liability, indemnity and disputes survive.
Disputes, arbitration and governing law
These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules.
Talk to us first
Before starting any formal proceeding, email legal@funnelfuse.com describing the dispute and what you want. We will try to resolve it with you within 30 days. Most problems end here.
Arbitration
If we cannot resolve it, any dispute arising out of or relating to these terms or the services will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in Cochise County, Arizona, or conducted remotely by agreement. Judgment on the award may be entered in any court with jurisdiction.
Exceptions
Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
Class action waiver
Claims must be brought individually. Neither party may bring a claim as a plaintiff or class member in a class, consolidated or representative action. If this waiver is found unenforceable, the arbitration agreement does not apply to that claim.
Opting out of arbitration
You may opt out of arbitration by emailing legal@funnelfuse.com with "arbitration opt-out" in the subject line within 30 days of first accepting these terms. Opting out does not affect any other part of this agreement.
Time limit
Any claim must be brought within one year after it arises, or it is permanently barred, unless the law forbids shortening the period.
General
- Electronic communications. You consent to receive notices and agreements electronically, and agree electronic signatures and approvals are binding.
- Independent contractor. We are an independent contractor, not your employee, partner, joint venturer or agent.
- Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, outages, platform failures and government action.
- Assignment. You may not assign this agreement without our written consent. We may assign it to a successor in a merger or sale of assets.
- Non-solicitation. During the engagement and for 12 months after, you agree not to directly hire or contract our team members without our written consent.
- Severability. If a provision is unenforceable, the rest stays in force and the provision is modified to the minimum extent needed.
- No waiver. Not enforcing a right once does not waive it.
- Entire agreement. These terms, plus any signed services agreement and the terms shown at checkout, are the whole agreement between us.
- Changes. We may update these terms. Material changes take effect 30 days after we post them, and continuing to use the services after that means you accept them. Changes do not alter the terms of a project already underway.
